SMSMV TERMS OF SERVICE AGREEMENT

 

SMSMV provides SMS and Related services for Individuals, Web and Application Developers, Organizations, NGO’s and Government Institutes, subject to the terms and conditions contained in this Terms of service agreement. To become eligible to use SMSMV Services under this Agreement, you must review and accepted the terms of use. By subscribing to our services or your use of the SMSMV services you are deemed to have agreed all the Terms of Use mentioned in this document. If you do not agree to the terms of this agreement, you should not use any of our services. If you have any questions about any part of this TOS Agreement, you may either (i) Contact SMSMV via contact form at www.SMSMV.com/contact/ or (ii) Print a copy of this agreement and get the legal advice from your lawyer and review and send to SMSMV for approval before subscribe to any Service.

 

TERMS OF USE

 

AUTHORIZATIONS

SMSMV will provide services in accordance with TOS and all applicable local, state, and federal regulations and laws. CLIENT agrees to pay and authorizes SMSMV to charge all fees due, using the payment information provided by CLIENT at the time of application. Subject to TOS SMSMV grants customer a non-exclusive, recoverable right to:

(a) Use the Web SMS service

(b) Use the Mobile SMS Application

(c) Use the Desktop SMS Application

(d) Use the Developer API

(e) Use the Own Sender ID

 

PRIVACY

We Understand that you care about how we use your information’s and we appreciate your trust on us, and assure that CLIENT’s privacy is important to us. SMSMV will never disclose any of the customer’s private information to another CLIENT or to the public. CLIENT’s personal information sent to us will be treated in accordance with our privacy Policy. However, SMSMV will not be liable for any lack of privacy you may experience while using our services. SMSMV also has the right to intercept, disclose, or remove any message or material belongs to the CLIENT in order to protect its privacy and rights.

 

DISCLAIMER OF WARRANTY

• Under no circumstances SMSMV will be liable for any direct, indirect, special or consequential loss or expense that may be attributable, directly or indirectly, to the use of SMSMV Services
• SMSMV won’t be responsible for any interruption, delayed or failed transmission, loss of data, storage or delivery of information resulting from any cause.
• Any damages incurred by CLIENT due to disruption of service by SMSMV shall be expressly limited to the amount paid by CLIENT to SMSMV for services and shall under no circumstances include reimbursement for losses of income or other consequential damages claimed by CLIENT
• All the information sent by us via SMS is provided without any representation or warranty whatsoever, whether express or implied. In particular, SMSMV makes no representation or warranties about the correctness of any information contained, the suitability of any products or services mentioned or the soundness of any general advice offered in a SMS. 

 

APPLICABLE LAW

The use of, and information appearing in SMS's is governed and interpreted in accordance with the laws of the Republic of Maldives. 
 

 

 

POLICY CHANGES

These policies may change with or without notice. CLIENT agrees to comply with these policies in their current and future state. CLIENT agrees to periodically review published policies to ensure understanding of and compliance with current policies

 

INTELLECTUAL PROPERTY RIGHTS

• All the content, trademarks, logos, and data on an SMS – including software, text, graphics, icons, hyperlinks, private information, and designs – are the property of or licensed to SMSMV. As such it is protected against infringement by local and international legislation and treaties.
• Nothing on any SMS should be construed as granting (by implication, estoppel, or otherwise) any license or right to use any intellectual property rights envisaged in the previous paragraph without our written permission. You may not use the name of SMSMV or our logo in any way without our prior written permission.

INDEMNITY

You agree to indemnify and hold harmless any member of the SMSMV and our respective directors, employees, agents, licensors, suppliers and any third-party information providers – from and against all losses and expenses (including attorney and own client costs), resulting from you violating any of these terms of use.

 

CHANGES TO THE SERVICE

Customer acknowledge that the features and functions of the SMSMV Services including the API may change over time.it is customers responsibility to ensure that requests customers make to the SMSMV services are compatible with the latest API that are not backwards compatible, if any such changes become necessary SMSMV will use reasonable efforts to notify Customer at least 30 days prior to implementation.

 

NOTIFICATIONS

SMSMV relies on e-mail as the primary means of notifying CLIENTs of important system news, problems with CLIENTs' accounts or usage of those accounts, billing problems, etc. Any notifications will be e-mailed to the contact e-mail address provided by CLIENT upon application for services. CLIENT agrees to monitor these e-mail addresses on a regular basis and to respond promptly, if required, to any notifications. CLIENT agrees to notify SMSMV of any changes to CLIENT's physical or e-mail address, telephone numbers, etc.

 

REFUSAL OF SERVICE

SMSMV reserves the right to refuse to provide any SMS service if: (a) you breach any of these terms of use; (b) we’re unable to verify or authenticate any information you provide to us; or (c) we believe that you’re conducting activities that are illegal or abusive, or put SMSMV in disrepute. 
 

JURISDICTION

SMSMV may disclose any CLIENT(s) information to law enforcement agencies without further constant or notification to the CLIENT(s) upon lawful request from such agencies. CLIENT agrees to submit to the jurisdiction of the applicable municipal, country, state or federal court of SMSMV’s physical residence for any litigation, mediation, or arbitration which may arise from any dispute concerning any of the provisions herein. Controlling law shall be that of the State of SMSMV residence. The prevailing party in any litigation hereunder shall be entitled to recover its reasonable attorney’s fees and court costs.

 

ACCEPTANCE

CLIENT expressly understands, acknowledges, and agrees that in submitting an application and paying for any and all services to be rendered by SMSMV, CLIENT shall abide by all Terms and Conditions stated herein.
